Terms of service
Chemiseed Sdn. Bhd. Effective date: 10 October 2026. These terms apply to chemiseed.com and to every quotation, order and supply of goods by Chemiseed Sdn. Bhd.
These are our terms of sale for business buyers. We supply in bulk only, on a written quotation. Please read sections 9, 11 and 12 carefully: they set out what we promise about our products, how claims work and the limits of our liability.
1. About us
Chemiseed Sdn. Bhd. ("Chemiseed", "we", "us", "our") is a Malaysian supplier of legume cover crop seed and soil conditioners to plantations since 2003. We are a private limited company incorporated in Malaysia and registered with the Companies Commission of Malaysia (SSM).

Kudzu Seeds Trading is our Philippines-based sister company and a separate legal entity. Orders placed with Kudzu Seeds Trading are made on its own terms, not these.
2. Business buyers and bulk orders only
This website is a catalogue and enquiry channel for business buyers buying in bulk, such as plantations and estates, contractors, cooperatives, distributors, importers and government agencies. It does not take orders or payment online, and nothing on it is an offer to sell.
We do not sell to consumers through this website. Small retail packs of some of our products are sold on our Shopee store under Shopee's own terms; these terms do not apply to Shopee purchases.
By sending us an enquiry or accepting our quotation, you confirm that you are buying for the purposes of a business, organisation or public body and not as a consumer.
3. Quotation, acceptance and order changes
- You send us an enquiry stating the product, quantity, destination and preferred delivery term.
- We send you a written quotation or proforma invoice. It states the product, quantity, packing, price and currency, delivery term (Incoterm and named place), minimum order, lead time, payment details and how long the quotation is valid.
- A contract is formed only when you accept the quotation in writing and we confirm the order in writing.
Acceptance and confirmation by email or other electronic message are valid and binding under the Electronic Commerce Act 2006 (Act 658).
The contract is made up of any signed supply agreement between us, our quotation or proforma invoice, and these terms. If they conflict, the signed supply agreement comes first, then the quotation or proforma invoice, then these terms. Terms printed on or attached to your purchase order do not apply unless we agree to them in writing.
Once we have confirmed an order, you may change or cancel it only with our written agreement. We may charge any costs we have already incurred, such as packing, documents, inspections and freight bookings.
4. Prices and validity
- Prices are given per quotation, in the currency stated, and are valid only for the period stated on the quotation. After that period we may issue a new quotation.
- What the price includes depends on the delivery term named on the quotation (see section 6).
- Unless the quotation says otherwise, prices exclude any Sales and Service Tax (SST) or other tax that applies, and all import duties, taxes, customs charges and clearance costs in the destination country.
- Documents, inspections, treatments or special packing that are not listed on the quotation are quoted and charged separately.
- We do not publish prices on this website. Retail prices on Shopee apply to retail packs bought there only and are not offers for bulk supply.
5. Payment
- Payment is due in full, in cleared funds, before dispatch.
- Payment is made by bank transfer to the Chemiseed Sdn. Bhd. account shown on our proforma invoice. Bank charges, intermediary bank fees and currency conversion costs are paid by you, so that we receive the full invoiced amount.
- We will never change our bank details by email alone. If you receive a message saying our bank details have changed, call or WhatsApp us on +60 17-237 4058 to check before you pay. A payment made to any account other than the one on our proforma invoice does not count as payment to us.
- If payment is not received within the validity period of the quotation, we may release any stock reserved for your order.
6. Delivery terms, risk and title
All delivery terms are interpreted under Incoterms 2020.
- Ex Works (EXW) Selangor, Malaysia applies unless the quotation names FOB or CIF. We make the goods available for collection at our premises in Selangor named on the quotation. Risk passes to you when the goods are placed at your disposal there. You or your forwarder arrange collection and, for export, export clearance, freight and insurance; we provide the documents in section 7 at your request.
- Free On Board (FOB), when named on the quotation: we deliver the goods, cleared for export, on board the vessel you nominate at the named port of shipment in Malaysia. Risk passes to you when the goods are on board. You arrange and pay for sea freight and insurance from that point.
- Cost, Insurance and Freight (CIF), when named on the quotation: we arrange and pay for sea freight to the named port of destination and minimum cargo insurance as required by Incoterms 2020. Risk passes to you when the goods are on board the vessel at the port of shipment in Malaysia, even though we pay the freight. Import clearance, duties, destination charges not included in the freight contract, and onward delivery are yours. You may wish to take out wider insurance cover.
- Delivery within Malaysia is by arrangement. The quotation states the delivery address, the delivery cost and when risk passes. If it does not say when risk passes, risk passes when the goods arrive at the delivery address, ready for unloading.
Minimum order and lead time are confirmed on the quotation. Lead times are estimates given in good faith and are not guaranteed. Seed supply is seasonal and depends on harvests; we will tell you promptly if a lead time changes. We ship an order in parts only where the quotation allows it or you agree.
Title to the goods passes to you when we have received payment in full.

7. Documents
With every order we provide a commercial invoice and a packing list. On request, and as agreed on the quotation, we provide:
- the Certificate of Analysis (COA) for the lot supplied;
- a phytosanitary certificate issued by the Department of Agriculture Malaysia (DOA) for export, for seed and other plant products;
- a certificate of origin;
- a Safety Data Sheet (SDS) and technical data sheet, where one exists for the product.
Please tell us at enquiry stage which documents your import permit or customs authority requires, including any specific wording, declarations or treatments. Some of these must be arranged before dispatch and can affect price and lead time.
8. Import permits and registration
It is your responsibility to confirm, before you order, that the goods may lawfully be imported, registered, sold and used in the destination country, and to obtain any import permit, plant quarantine clearance, product registration or licence required there. Please send us the conditions of your import permit before dispatch so that our documents match them.
We are not liable for goods that are detained, refused entry, treated, destroyed or delayed by an authority in the destination country, or for any cost arising from that, where we have supplied the goods and documents agreed on the quotation.
We may decline or stop a supply where it would breach sanctions, export controls or other laws that apply to us.
9. Seed quality, product information and warranty
- Our cover crop seed is germination- and purity-tested to ISTA and AOSA methods. The Certificate of Analysis (COA) for the lot supplied, at its test date, is the reference for that lot's quality.
- A laboratory germination result is not the same as establishment in the field. Field results depend on storage after delivery, seed treatment and scarification, sowing method and depth, soil moisture, temperature, shade, pests and land preparation, none of which we control.
- Specifications, application rates, trial results and other information on this website, in our catalogue or in our other material are general guidance. They describe results under particular conditions and are not a promise of the result in your field. We do not guarantee any yield, ground cover, growth rate, field germination or financial return.
- SoilBoost EA is a soil conditioner. It is not a fertiliser, pesticide or plant protection product and does not replace a fertiliser programme.
- Confirm application rates for your site with our team or your own agronomist before large-scale use, and trial on a limited area first.
- We warrant that the goods match the description on the quotation and, where a COA is issued for the lot, the COA at its test date. All other warranties and conditions, whether implied by law or otherwise, are excluded to the extent the law allows.
10. Storage and handling after delivery
Seed is a living product. Its germination falls over time, and faster in heat and humidity. Once risk has passed to you, please:
- store unopened bags in a cool, dry, shaded and well-ventilated place, raised off the floor, away from fertilisers, chemicals, fuel and pests;
- keep bags sealed until sowing, reseal opened bags, and sow as soon as practicable;
- handle bags with care and keep the labels and lot numbers;
- store soil conditioners and other inputs as shown on the label and SDS, with bags kept closed and dry.
We are not responsible for loss of quality caused by storage, handling, treatment, mixing or use after risk has passed that does not follow this guidance or the product label.
11. Inspection and claims
Please inspect the goods as soon as you receive or collect them.
- Shortage, damage in transit or wrong goods: notify us in writing within 7 days of delivery or collection. Note any visible damage or shortage on the carrier's delivery document when you receive the goods.
- Quality defect (for example, germination below the COA result): notify us in writing within 30 days of delivery or collection.
- With every claim, send photographs of the goods, packaging and labels, the lot (batch) number, and the packing list or delivery document. Keep the remaining goods in their original packaging and a sealed sample of the affected lot until we close the claim, and do not sow, apply or mix the disputed goods further.
- Where damage or loss in transit happened after risk passed to you under the delivery term, your claim lies with the carrier or your insurer. We will provide the documents you need to support it.
We investigate each claim, including by comparing it against our retained sample of the same lot. Where the results are disputed, either party may ask for the retained sample to be retested by an independent laboratory agreed by both of us (for seed, a seed testing laboratory), and the party whose position the result does not support pays for that test.
Where we accept a claim, we will replace the affected goods, issue a credit or refund the price paid for them, at our discretion after investigation. We do not accept change-of-mind returns. Our Refund and Returns Policy explains the claims process step by step.
12. Limitation of liability
To the fullest extent permitted by Malaysian law:
- we are not liable for any indirect or consequential loss, including loss of profit, revenue, crop or yield, loss of contract or business interruption;
- our total liability arising out of or in connection with an order is limited to the price paid for the goods to which the claim relates;
- we are not liable for loss caused by storage, handling, mixing or use that does not follow our guidance or the product label, or by use in conditions materially different from those our guidance describes.
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or any other liability that cannot be limited or excluded by law.
13. Events beyond our control
We are not in breach of these terms if performance is prevented or delayed by an event beyond our reasonable control, including crop failure or poor harvest, extreme weather, flood, fire, plant pest or disease outbreak, epidemic, quarantine, port or border closure, shipping disruption, strike, war, civil unrest, government action, a change in law or an export restriction.
We will tell you as soon as we can, and the time for performance is extended while the event continues. If it continues for more than 60 days, either party may cancel the affected part of the order by written notice, and we will refund any sums paid for goods not delivered.
14. Use of this website and intellectual property
The Chemiseed name and logo, our product names, and the text, photographs, data tables, calculators and catalogue material on this website belong to Chemiseed Sdn. Bhd. or its licensors. You may view, download and print them for your own evaluation and internal use. You may not republish, resell or use them in your own marketing without our written permission.
Please use this website lawfully. Do not interfere with it, scrape it in a way that slows it for others, give false details in an enquiry, or submit another person's personal data without their knowledge.

15. Governing law and disputes
These terms and every contract of supply are governed by the laws of Malaysia.
If a dispute arises, please raise it with us in writing first; most matters are settled by discussion. If it is not settled, the courts of Malaysia have jurisdiction. The parties may instead agree in writing to refer the dispute to arbitration at the Asian International Arbitration Centre (AIAC) in Kuala Lumpur under the Arbitration Act 2005.
16. General
- If any part of these terms is found unenforceable, the rest continues to apply.
- If we do not enforce a right straight away, we have not waived it.
- You may not transfer your rights or obligations under an order without our written consent.
- If these terms are translated, the English version prevails.
17. Changes to these terms
We may update these terms from time to time. The version in force when we confirm your order applies to that order. The effective date at the top shows the latest version.
